Terms and Conditions

1. Introduction and acceptance of terms

These Terms and Conditions (hereinafter referred to as the "Terms") govern the access to and use of the Zeff Scout platform, accessible at www.zeffscout.ro and app.zeffscout.ro (hereinafter referred to as the "Platform"), operated by CRENZY CREATIVITY SRL (hereinafter referred to as the "Company", "We" or "Zeff Scout").

By accessing, registering or using any feature of the Platform, you confirm that you have read, understood and agree to comply fully with these Terms. If you do not agree with any of the provisions below, please do not use the Platform.

These Terms constitute a legally binding contract between you (the "User") and CRENZY CREATIVITY SRL, concluded remotely in accordance with Romanian Law 365/2002 on electronic commerce and Romanian Government Emergency Ordinance (OUG) 34/2014 on consumer rights in contracts concluded at a distance.

3. Definitions

  • "Platform" or "Service" — all features offered through Zeff Scout, including the public website and the web application.
  • "User" — any individual or legal entity who creates an account and/or uses the Platform.
  • "Account" — the User's personal virtual space within the Platform, created through registration.
  • "Subscription" — the plan chosen by the User (Free, Explorer, Pro or Max), which determines the level of access to the Platform's features.
  • "eMAG Public Data" — information publicly available on eMAG.ro, accessible to any visitor without authentication or special credentials.
  • "Generated Content" — reports, analyses, scores, estimates and any other output produced by the Platform based on public data, through Zeff Scout's proprietary algorithms.

4. Service description

Zeff Scout is a SaaS (Software-as-a-Service) platform for market research and analytics of the eMAG marketplace. Services offered include, without limitation:

  • Product Research — analysis of products publicly listed on eMAG
  • Spy Seller — public analysis of seller portfolios
  • Keyword Explorer — research of relevant search terms
  • Tracked Products — automated monitoring of public product indicators
  • Rankings — algorithmically generated rankings based on public data
  • Profit Calculator — profitability simulator with commissions and taxes
  • Listing Optimizer — optimization analysis for the User's own listings

All features process exclusively public information, accessible to any visitor of the eMAG.ro platform. Estimates, scores and indicators are the result of Zeff Scout's proprietary algorithms, continuously calibrated based on aggregated market data. Technical details of the proprietary analytics technology are the intellectual property of the Company.

5. Account creation and authentication

To use the Platform, the User must create an account at app.zeffscout.ro/login, providing a valid email address and a password.

The User agrees to:

  • Provide real, accurate and up-to-date information;
  • Maintain the confidentiality of access credentials;
  • Be solely responsible for all activities carried out through their account;
  • Immediately notify the Company of any unauthorized use of the account.

Shared accounts, multiple accounts created by the same person and accounts created with false information are prohibited and may result in immediate suspension of access, without the right to a refund.

6. Plans, pricing and payments

Zeff Scout offers several subscription plans: Free (free of charge, no credit card required), Explorer, Pro and Max. Updated plan details, including limits and pricing, are published at zeffscout.ro/#pricing.

Payment processing

All payments are securely processed through Stripe (Stripe Payments Europe Ltd., PCI-DSS certified). Zeff Scout DOES NOT store the User's card data. Fiscal invoices are automatically issued through FGO.ro and sent by email.

Currency and VAT

Prices are displayed in RON (Romanian Leu) and include VAT in accordance with applicable Romanian legislation.

Automatic renewal

Subscriptions renew automatically at the end of each billing period. The User may cancel renewal at any time from their account or by email at office@zeffscout.ro. Cancellation takes effect at the end of the already paid period — access remains active until the current period expires.

7. Refund policy

7.1 Agreement on immediate provision of the digital service

By completing payment for a subscription, the User expressly requests and confirms that they wish the provision of the digital service to begin immediately, without waiting for the expiry of the 14-day withdrawal period. Furthermore, the User confirms being informed that this request may affect the right of withdrawal, in accordance with Romanian Government Emergency Ordinance (OUG) 34/2014, Art. 16(m), regarding exceptions to the right of withdrawal for digital content provided with the consumer's prior consent.

7.2 Goodwill policy — 14 days

Nevertheless, out of respect for our users and as a commercial policy of our own (not as a legal obligation), Zeff Scout offers a period of 14 calendar days from the date of payment during which the User (individual consumer) may request a full refund, without needing to justify the decision. This goodwill policy may be modified or withdrawn by the Company at any time, with prior notice.

Refund requests should be sent by email to office@zeffscout.ro, with the subject "Refund request — [account email]". The refund will be made through the same payment method originally used, within a maximum of 14 days from receipt of a valid request.

8. Acceptable use

The User agrees to use the Platform exclusively for market research for their own legitimate commercial purposes. The following are prohibited, without limitation:

  • Systematic copying, replication or redistribution of content generated by Zeff Scout, regardless of format;
  • Resale, sublicensing or public sharing of data, reports or analyses obtained from the Platform;
  • Sharing account credentials with third parties or entities;
  • Using Zeff Scout data or reports for the purpose of developing, feeding or improving a competing product or service — including, but not limited to, marketplace analytics tools, business intelligence platforms or similar services;
  • Systematic data collection from the Platform for creating proprietary databases or for competitive intelligence purposes directed against Zeff Scout;
  • Using the Platform for illegal, fraudulent activities or activities that infringe the rights of third parties;
  • Attempting to gain unauthorized access to the Platform's technical infrastructure;
  • Reverse-engineering, decompilation, disassembly or any other attempt to deduce the proprietary algorithms, source code or internal logic of the Platform;
  • Abusive use of features (for example, excessive search volumes intended to overload the system).

Violation of any of these rules may result in immediate and permanent suspension of the account, without the right to a refund, and in the initiation of legal action for recovery of damages.

9. Intellectual property

9.1 Company ownership

The Zeff Scout platform, including but not limited to the design, source code, graphical interface, logo, the "Zeff Scout" brand, proprietary algorithms, data models, database structures and documentation, are the exclusive property of CRENZY CREATIVITY SRL and are protected by national and international copyright and intellectual property legislation.

9.2 License for Generated Content

Reports, analyses, scores and estimates generated by the Platform for the User (Generated Content) are licensed, not transferred in ownership. Through the active subscription, the User receives a non-exclusive, non-transferable, revocable and time-limited license (for the duration of the subscription) to use the Generated Content exclusively for:

  • Internal market research and making their own commercial decisions;
  • Internal reports within their own organization.

It is not permitted to redistribute, publish, resell or sublicense the Generated Content to third parties, regardless of format. Upon termination of the subscription, the license for Generated Content expires automatically.

9.3 Original public data

Raw public data originating from eMAG.ro belongs to Dante International S.A. (eMAG). Zeff Scout processes and aggregates it through proprietary analytics technology, without claiming rights over the original raw data.

10. Limitation of liability

Zeff Scout is a research and decision-support platform. The estimates, scores and analyses provided are strictly informational and indicative, being the result of algorithmic models that, although continuously calibrated, cannot guarantee absolute accuracy.

The Company DOES NOT guarantee specific commercial results and IS NOT liable for:

  • Business decisions made by the User based on data or analyses provided by the Platform;
  • Direct, indirect, incidental, special or consequential financial losses resulting from the use or inability to use the Platform;
  • Loss of profits, revenue, data or business opportunities;
  • Temporary service unavailability (scheduled or unscheduled maintenance, force majeure, technical events);
  • Changes in the structure, operation, design or policies of the eMAG platform that affect the processed data;
  • The accuracy, completeness or timeliness of original public data from eMAG.ro or public registries;
  • Actions or inactions of third parties, including payment service or infrastructure providers.

Maximum liability cap: in no event shall the total liability of CRENZY CREATIVITY SRL to the User, regardless of legal basis (contractual, tortious or otherwise), exceed the total value of subscriptions paid by the User in the last 3 (three) months prior to the event giving rise to the claim.

The User acknowledges and accepts that this limitation of liability reflects a reasonable allocation of risks between the parties and that the subscription price has been set taking this allocation into account.

11. Non-affiliation with eMAG

CRENZY CREATIVITY SRL and the Zeff Scout platform are NOT affiliated with, sponsored by, associated with or officially endorsed by Dante International S.A. (owner of the eMAG brand). Any reference to "eMAG" within the Platform or on marketing materials is made strictly for descriptive purposes, to identify the market being analysed.

The Platform respects the intellectual property rights of Dante International S.A. and does not use the logo, visual identity or other protected elements of the eMAG brand in an unauthorized manner.

12. Personal data protection

CRENZY CREATIVITY SRL processes Users' personal data in compliance with Regulation (EU) 2016/679 (GDPR) and Romanian Law 190/2018. The Company acts as data controller and has implemented appropriate technical and organizational measures to protect personal data.

13. Modification of terms

Zeff Scout reserves the right to modify these Terms to reflect legislative, technological or operational changes. Users will be notified by email at least 30 calendar days before any significant modification takes effect.

Continued use of the Platform after the new terms take effect constitutes acceptance thereof. If the User does not agree with the changes, they may close their account and request a pro-rata refund for the unused period, in accordance with the refund policy.

14. Suspension or termination of service

14.1 Termination by the User

The User may cancel their subscription and close their account at any time, from account settings or by email at office@zeffscout.ro. Access remains active until the end of the current billing period.

14.2 Termination by the Company — with cause

Zeff Scout may suspend or close a User's account, with immediate effect and without the right to a refund, in the following situations:

  • Violation of the Terms and Conditions or Platform policies;
  • Non-payment of the subscription on time;
  • Fraudulent, illegal or abusive activity;
  • Using data to build a competing product or service;
  • Behaviour that endangers the security or integrity of the Platform.

14.3 Termination by the Company — without cause

The Company reserves the right to terminate the contractual relationship with any User, for any reason or without reason, with a minimum prior notice of 30 calendar days sent by email. In this case, the User will receive a pro-rata refund for the paid and unused subscription period.

14.4 Effects of termination

Upon account closure, regardless of reason:

  • Access to the Platform and Generated Content ceases;
  • Data associated with the account is deleted within 30 days;
  • Fiscal invoices are retained for 5 years, in accordance with Tax Code obligations;
  • Clauses regarding intellectual property, limitation of liability and jurisdiction remain in effect.

15. Applicable law and dispute resolution

These Terms are governed by and interpreted in accordance with the laws of Romania. Any dispute shall initially be resolved amicably, within 30 calendar days from written notification. If no agreement is reached, disputes shall be settled by the competent courts of Bucharest, Romania.

16. Force majeure

Neither party shall be liable for non-performance or delayed performance of contractual obligations if caused by a force majeure event, defined as any external, unforeseeable, absolutely insurmountable and unavoidable circumstance, in accordance with Romanian law.

The following are considered force majeure events, by way of example: natural disasters, pandemics, wars, acts of terrorism, embargoes, sanctions, major legislative changes, failures of internet infrastructure at regional or global level, large-scale cyberattacks, decisions of public authorities that prevent service delivery.

The affected party shall notify the other party within 5 business days of the event occurring and shall make all reasonable efforts to resume its obligations as soon as possible. If the force majeure event persists for more than 90 days, either party may terminate the contract, with a pro-rata refund for services not provided.

17. Entire agreement

These Terms and Conditions, together with the Privacy Policy, Cookie Policy, Refund Policy and eMAG Data Usage Policy, constitute the entire agreement between the User and CRENZY CREATIVITY SRL regarding the use of the Platform.

This agreement supersedes any prior understandings, commitments or declarations, whether written or verbal, relating to the same subject matter. No waiver of any right conferred by these Terms shall be deemed a general or future waiver of that right or any other right.

If any provision of these Terms is declared void or unenforceable by a competent court, the remaining provisions shall remain fully valid and enforceable.
